📜 Merchant Terms and Conditions

These Terms of Service apply to merchants ("you") who sign up to create an online store on the AARIE.CA platform.
1. Platform Services
AARIE.CA provides a website development and hosting platform for merchants. Our services include:
- Custom website creation and hosting for your store
- E-commerce functionality (product listings, shopping cart, checkout)
- AI chatbot integration for customer support
- Payment processing through Stripe Connect
- Basic analytics and reporting tools
- Platform support and maintenance
2. Fees and Payment Terms
Service Setup Fee
- A one-time setup fee of $499 is required to begin website development and hosting
- This fee is non-refundable upon commencement of work
- The fee covers initial setup, configuration, and basic customization
Transaction Fees
- AARIE.CA charges a platform fee of 16% on every transaction processed through your store
- This fee is in addition to Stripe's standard payment processing fees
- Fees are deducted automatically from customer payments before being credited to your Stripe account
- Fees are charged for successful transactions only, not for failed or cancelled transactions
Payment Processing
- You are responsible for establishing and maintaining a Stripe Connect Express account
- All customer payments are processed through your Stripe account
- AARIE.CA does not hold or manage your customer payments
- Payouts from Stripe are subject to Stripe's processing timelines and policies
3. Stripe Connect and Payment Processing
As a merchant on AARIE.CA, you agree to:
- Create and maintain a valid Stripe Connect Express account
- Comply with all of Stripe's terms of service and acceptable use policies
- Provide accurate business and banking information to Stripe
- Be responsible for all transactions processed through your account
- Be solely responsible for customer refunds, disputes, and chargebacks
Important: AARIE.CA is not responsible for Stripe's actions, policies, or account decisions. If Stripe suspends or closes your account, you are responsible for resolving that issue with Stripe directly.
4. Merchant Responsibilities and Content
You agree to:
- Provide all necessary content for your website (product images, descriptions, pricing)
- Ensure all product descriptions are accurate and truthful
- Provide business information for the AI chatbot and customer support
- Maintain current contact and business information
- Comply with all applicable laws and regulations in your jurisdiction
- Take responsibility for all customer service, refunds, and disputes
- Be the legal entity responsible for all transactions and customer relationships
- Obtain all necessary licenses and permits for your business
- Not use AARIE.CA for illegal activities or prohibited products/services
5. Intellectual Property and Branding
- You retain ownership of your business name, logo, content, and product information
- You grant AARIE.CA the right to display your store on the platform
- You agree not to infringe on third-party intellectual property rights
- AARIE.CA retains ownership of all platform code, technology, and design elements
- You may not reproduce, modify, or distribute AARIE.CA platform code
6. Account Monitoring and Compliance
AARIE.CA reserves the right to:
- Monitor account activity for fraud, abuse, and compliance violations
- Flag suspicious or fraudulent activity for manual review
- Pause or suspend your account if illegal activity is suspected
- Terminate your account at any time for violation of these terms
- Report violations to appropriate authorities if required by law
Grounds for Suspension or Termination
We may suspend or terminate your account for:
- Violation of these Terms of Service or our policies
- Fraudulent or deceptive business practices
- Selling illegal products or services
- Repeated customer complaints or disputes
- Failure to comply with Stripe's policies
- Harassment, abuse, or violation of customer rights
- Non-payment of fees or outstanding balances
7. Data and Customer Information
You understand and agree that:
- AARIE.CA stores customer data (name, email, address, order history) on behalf of your store
- You are responsible for protecting customer data and complying with privacy laws
- You agree to our Privacy Policy regarding how customer data is handled
- You are responsible for obtaining customer consent for any marketing communications
- Upon account termination, you have the right to request your customer data
8. Limitation of Liability
To the maximum extent permitted by law:
- AARIE.CA is not liable for any loss of profits, data, revenue, or business opportunities
- AARIE.CA is not liable for indirect, incidental, special, or consequential damages
- AARIE.CA is not liable for customer disputes, chargebacks, or payment processing failures
- AARIE.CA is not liable for Stripe's actions or decisions regarding your account
- AARIE.CA's total liability is limited to the fees you have paid in the past 12 months
Some jurisdictions do not allow limitation of liability. To the extent permitted by law, these limitations apply to you.
9. Service Availability and Support
AARIE.CA provides the platform on an "as is" basis.
- We do not guarantee uninterrupted or error-free service
- We reserve the right to perform maintenance and updates with reasonable notice
- We support standard web browsers and devices; compatibility with all devices is not guaranteed
- We provide technical support for platform issues, not for your business operations
10. Termination of Service
Either party may terminate this agreement:
- By You: You may request account closure at any time by contacting support
- By AARIE.CA: We may terminate for violation of terms, legal reasons, or business decisions with reasonable notice
- Upon Termination: Your store will be taken offline; you may request your customer data within 30 days
- No Refunds: Termination does not entitle you to refunds of fees paid
11. Changes to Terms and Pricing
AARIE.CA reserves the right to modify these terms and our pricing:
- We will provide at least 30 days written notice of any changes
- Continued use of the platform after the effective date constitutes acceptance of new terms
- We may modify the platform fee structure with 30 days notice
- Existing fees for your account will remain in effect until the effective date of any changes
12. Governing Law and Jurisdiction
These Terms of Service are governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions. Any legal action or proceeding must be brought in the appropriate courts of Canada.
